Terms of Service

By accessing or using OjaCore's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

OjaCore provides AI agent orchestration services and multi-tenant backend infrastructure for businesses, including:

• AI Discovery Audits — operational assessment and automation opportunity identification
• Pilot Implementation — design, build, and deployment of production-ready AI agent systems
• Full Production & Managed Service — multi-agent orchestration with ongoing management and optimization
• Multi-tenant backend infrastructure — tenant isolation, API keys, metering, and billing enforcement

Services are provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice.

Fixed-price engagements

All service engagements are fixed-price with defined deliverables, timelines, and acceptance criteria specified in a separate Statement of Work (SOW). Discovery Audits are typically delivered in 1 week. Pilot Implementations in 3-6 weeks.

Managed service retainers

Ongoing managed service retainers include monitoring, optimization, and support for deployed AI agent systems. Service levels, responsibilities, and pricing are defined in a separate service agreement.

AI systems disclosure

OjaCore uses AI systems, including large language models and autonomous agents, to deliver services. AI-generated outputs may require human review. Client is responsible for validating AI outputs for their use case.

When using OjaCore services, you agree to:

• Provide accurate and complete information
• Maintain the security of your API keys and credentials
• Use services only for lawful purposes
• Not attempt to circumvent security measures or access controls
• Not interfere with or disrupt the integrity of our systems
• Comply with all applicable laws and regulations

Our property

OjaCore and its original content, features, and functionality are owned by OjaCore and are protected by international copyright, trademark, and other intellectual property laws.

Your property

You retain all rights to your data and content. By using our services, you grant us a limited license to process your data solely to provide the services you've requested.

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure. You acknowledge that you provide data at your own risk.

Payment terms for pilot engagements and managed runtime services are specified in your service agreement. Unless otherwise stated:

• Invoices are due within 30 days of issue
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for overdue accounts
• All fees are non-refundable unless otherwise specified

To the maximum extent permitted by law, OjaCore shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from these terms or your use of services shall not exceed the amounts paid by you to OjaCore in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless OjaCore and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of services or violation of these terms.

Either party may terminate services with 30 days written notice. We may terminate or suspend access immediately, without prior notice, for conduct that we believe violates these terms or is harmful to other users or us.

Upon termination, your right to use the services will cease immediately. We will provide reasonable assistance to export your data upon request.

We reserve the right to modify these terms at any time. We will notify you of significant changes by posting the new terms on this page with an updated date. Your continued use of services after changes constitutes acceptance of the new terms.

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
